Terms of Service

Welcome to NYLOS. These Terms of Service ("Terms") govern your access to and use of the services offered by E-Stoic, LLC, a limited liability company formed in the State of Delaware, United States ("NYLOS," "we," "us," or "our"). By creating an account or using the service, you accept these Terms and our Privacy Policy. If you do not agree, do not use the service.

1. Description of the service

NYLOS is a SaaS platform that enables the creation of advertising and editorial content assisted by artificial intelligence, including image generation, copy, variations, edits, upscaling, social media publishing, and related tools. The service operates through subscription plans that include monthly credits to run AI operations, plus optional credit top-ups.

2. Eligibility and account registration

  • You must be at least 18 years old to use NYLOS. If you use the service on behalf of a company, you represent that you have authority to bind that company to these Terms.
  • You must provide accurate information and keep it up to date.
  • You are responsible for maintaining the confidentiality of your credentials and for all activity conducted under your account.
  • You must notify us immediately at legal@nylos.io of any unauthorized use of your account.

3. User content

"User Content" includes: images, logos, products, text, and any other material you upload or generate through the service.

  • Ownership: you retain all intellectual property rights in your User Content, including the images and text generated through NYLOS.
  • License you grant us: you grant us a non-exclusive, worldwide, royalty-free license to store, process, reproduce, and display your User Content solely for the purpose of operating and providing the service to you.
  • Use for service improvement: we may use aggregated and anonymized data (without identifiable content or individual images) to improve the service, perform analytics, detect abuse, and report metrics. We do not use your individual content to train our own or third-party AI models.
  • Responsibility: you represent that you have the necessary rights in everything you upload (logos, product photos, references) and that it does not infringe third-party rights.

4. Prohibited uses

Use of the service is subject to our Acceptable Use Policy, which is an integral part of these Terms. Violating that policy may result in immediate suspension or termination of your account, without refund.

5. Credits, payments, and billing

  • Subscription plans. The service is purchased through a monthly or annual plan. Plans, their prices, and the credits they include are displayed on the platform and may be changed with prior notice. Optional add-ons (additional brands or social networks) are billed together with your subscription and on the same schedule; you may add or remove them from the billing section.
  • Automatic renewal. Your subscription renews automatically at the end of each billing period (monthly or annual) and is charged to your payment method on file until you cancel. Each renewal is charged at the then-current plan price; if the price changes, we notify you before the renewal so you can cancel. You may cancel at any time from Billing → Cancel subscription, online and without contacting us: cancellation takes effect at the end of the period already paid, you keep access until that date, and no further charges are made.
  • Plan credits. Each plan includes a monthly amount of credits, which renews at the start of each monthly billing cycle; on annual plans, approximately every 30 days. Unused plan credits do not roll over: they are forfeited when the next cycle begins and when the subscription ends.
  • Top-ups. With an active plan you may buy credit top-ups as a one-time payment. Top-up credits do not expire while your account is active and are used after your plan credits. If you cancel your plan they are kept, but some brands and features may be locked until you subscribe again.
  • Plan changes. Changes from a monthly plan (to another monthly plan or to an annual plan) take effect immediately and restart the billing cycle: the new plan is charged and a prorated discount is applied based on your previous plan's unused credits. If you are on an annual plan, the change is scheduled for your next renewal and nothing is charged until then.
  • Free use. When you create your account you may generate a single free batch of trial ads, with no card required, one per person even if you create another account. Otherwise there are no free credits or trial periods, except for promotions, coupons, or compensations we expressly communicate.
  • Payments are processed through an external PCI-DSS certified payment processor. We do not store card data on our servers.
  • Payments for plans and top-ups are non-refundable except in the specific cases detailed in our Refund Policy.
  • If you delete your account or the account is terminated for a violation, all unused credits (plan and top-up) are forfeited.
  • Applicable taxes (VAT, sales tax, IVA) are added when corresponding according to your jurisdiction.

6. Third-party services

NYLOS integrates third-party providers to operate (authentication, payments, AI models, social publishing). See the complete list in our Privacy Policy. We are not responsible for the availability, accuracy, or policies of those third parties. Use of the service implies acceptance of each provider's terms when you interact with their features (for example, when publishing to social networks).

7. NYLOS intellectual property

The software, design, trademarks, logos, and NYLOS's own content are the exclusive property of E-Stoic, LLC. You may not copy, modify, distribute, reverse engineer, or create derivative works of the platform without express written authorization.

8. Suspension and termination

  • You may cancel your subscription at any time from Billing (effective at the end of the paid period) and delete your account from Manage account → Delete account. When you delete it, active subscriptions are canceled at the end of the paid period, with no further charges and no refund of the current period, and you lose access to all unused credits.
  • We may suspend or terminate your account if you violate these Terms, the Acceptable Use Policy, or if we detect fraudulent or illegal activity. In the event of termination for a violation, there is no refund.
  • After termination, we retain your data for 30 days to allow recovery in case of error; they are then permanently deleted except where legally required to retain them.

9. Disclaimers and warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, UNINTERRUPTEDLY AVAILABLE, OR THAT AI RESULTS WILL MEET ANY SPECIFIC EXPECTATION. AI-GENERATED CONTENT MAY CONTAIN INACCURACIES, BIASES, OR INAPPROPRIATE ELEMENTS; YOU ARE RESPONSIBLE FOR REVIEWING IT BEFORE USING IT COMMERCIALLY.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, E-STOIC, LLC AND ITS REPRESENTATIVES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, NOR FOR LOSS OF PROFITS, DATA, OR USE. OUR TOTAL AGGREGATE LIABILITY WILL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID US IN THE LAST 12 MONTHS, OR (B) ONE HUNDRED UNITED STATES DOLLARS (USD 100).

11. Indemnification

You agree to indemnify and hold harmless E-Stoic, LLC from claims, damages, losses, and expenses (including reasonable legal fees) arising from: (a) your use of the service; (b) your User Content; (c) your violation of these Terms or applicable laws; (d) your violation of third-party rights.

12. Governing law and jurisdiction

These Terms are governed by the laws of the State of Delaware, United States, without giving effect to conflict-of-laws principles. Any dispute will be brought exclusively in the state or federal courts located in the State of Delaware, and you and E-Stoic, LLC each submit to the personal jurisdiction of, and waive any objection to venue in, those courts.

13. Changes to these Terms

We may update these Terms at any time. Material changes will be notified at least 15 days in advance by email or through a notice on the platform. Continued use of the service after the effective date of the new Terms constitutes acceptance.

14. General provisions

  • Entire agreement: these Terms, together with the Privacy Policy, Acceptable Use Policy, and Refund Policy, constitute the entire agreement between the parties.
  • Severability: if any provision is held invalid, the remainder remains in effect.
  • Assignment: you may not assign your rights under these Terms without our consent. We may assign them in the event of a merger, acquisition, or sale of assets.
  • No waiver: our failure to exercise a right does not constitute a waiver of that right.
